One original of Application for Alteration |
The Application for Alteration shall include the following contents:
1) Contents of alteration of the resident representative office
and reasons therefore.
2) Introduction of the altered resident representative office:
a. Name of resident representative officesb.
b. Scope of businessc.
c. Name of personnel accredited (the chief representative and representatives)
d. Business address
e. Residence period
Notice:
1) The items that may be altered include: address, the chief representative,
replacement or reduction or increase of representatives, name of
resident representative offices, scope of business, etc. A foreign
enterprise may apply for alteration of several items in one application,
or it may make such applications at the time when it applies for
extension. Resident representative office shall submit to examination
and approval authorities its application for going through the alteration
formalities 30 days prior to such alteration.
2) Resident representative offices shall not alter the above-mentioned
items without approval of the relevant examination and approval
authorities.
3) The application shall be printed on letter papers with the name
of applying enterprise as the letter head.
4) The name of the receiver of the application shall be "The
Department of Foreign Trade and Economic Cooperation of Guangdong
Province".
5) The application shall be signed by the chairman of the board
of directors or general manager of the applying enterprise and shall
be stamped with the common seal of such enterprise. |

Relevant materials (one original for each) |
1) For alteration of address, the applying enterprise shall submit
the copies of the lease agreement for the premises or other certificates
testifying using such premises lawfully. See the 8th point of Annex
2 for detailed requirements.
2) For alteration of the chief representative or representatives,
the applying enterprise shall submit the original of letters of authorization
for commissioning the chief representative and representative(s) of
the resident representative office signed by the chairman of the board
of directors or general manager of the applying enterprise, originals
of resumes of the chief representative and representatives, and copies
of their ID cards. See the 6th point of Annex 2 for detailed requirements.
3) For alteration of name of the resident representative office or
scope of business, the applying enterprise shall submit the new certificate
of legal operation, decision of the board of directors or other relevant
documents. |

One duplicate of certificate of approval and one duplicate of registration
certificate |
1) The duplicate of certificate of approval issued by the examination
and approval authorities for establishment or extension of the resident
representative office.
2) The duplicate of the registration certificate issued by the registration
authority (industry and commerce administration). |

Completed Application Form for Alteration of Resident Representative
Offices of Enterprises from Hong Kong, Macao, Taiwan and Foreign Countries
(in duplicate) |
1) Such form is available at authorized agencies.
2) Such form shall be filled in by applying enterprises faithfully
in detail without leaving any item blank. |
1. The examination and approval authorities shall have the right to
require an applying enterprise to present notarial document in proof of
the authenticity of those materials the enterprise submitted.
2. Where the above-mentioned materials are made in foreign languages,
the Chinese text shall be attached thereto.
